EXHIBITOR'S AGREEMENT

1. EVENT DETAILS

2. EXHIBIT BOOTH FEES

Booth pricing is outlined below and covers a 3-day rental period. Please note that exhibitors are required to participate for the full duration of the event.

3. BOOTH ASSIGNMENTS

Exhibitors are encouraged to submit their top three preferred booth locations. To do so, please send a request, and we will provide you with the exhibit floorplan to assist in making your selection.

Final booth assignments will be confirmed two weeks prior to the event. The Organizer will make every reasonable effort to accommodate each Exhibitor’s preferences.

4. PAYMENT TERMS

  •  A 50% deposit is due upon signing this agreement.
  •  Full payment is due by July 5, 2025.
  •  Payments can be made via credit card, bank transfer or check.
  •  Failure to meet this deadline may result in the booth being reassigned and forfeiture of any payments made.
  •  To pay by check or wire transfer, please contact us, and we’ll provide the necessary payment instructions.

5. CANCELLATION POLICY

  •  All cancellations must be submitted in writing.
  •  No refunds will be issued for cancellations, except in cases of force majeure as outlined in the agreement.
  •  At the sole discretion of the Organizer, a credit may be applied toward participation in a future Vegas Tiny Home Tradeshow event, based on availability and relevance.

7. INSURANCE

The Exhibitor shall, at their own expense, obtain and maintain all required insurance coverage for the duration of the event. Failure to submit required documentation may result in denial of entry with no refund of fees paid.

Full insurance requirements will be emailed once the contract is signed and the deposit has been received.

8. FOOD & BEVERAGE SERVICE

Exhibitors planning to distribute or sell food or beverages must obtain all required health permits, food handler certifications, and approvals from the Organizer and local health authorities.Cooking or food preparation at the booth must be pre-approved and comply with all fire safety and sanitation regulations. Alcohol distribution is strictly prohibited unless approved in writing by the Organizer and the venue.

9. FIRE SAFETY AND ELECTRICAL USE

All Exhibitors must comply with local fire codes and safety regulations. The use of open flames, propane, or other combustible materials is strictly prohibited without prior written approval from both the Organizer and the venue. All electrical equipment mustbe UL-certified and used in accordance with manufacturer guidelines. Extension cords must be heavy-duty and rated for commercial use.

10. PERSONAL PROPERTY

The Organizer is not responsible for any loss, theft, or damage to the Exhibitor’s property, equipment, or personal belongings before, during, or after the event. Exhibitors are solely responsible for securing their booth and all items within it. It is strongly recommended that Exhibitors obtain adequate insurance coverage to protect against such risks.

Overnight security will be provided by the Organizer as a general precaution; however, the Organizer does not assume responsibility for the safety or security of any Exhibitor property. Exhibitors are advised to take all necessary measures to safeguard their belongings and remain fully liable for any loss or damage.

11. EXHIBITOR CONDUCT AND BOOTH SPACE APPEARANCE

Exhibitors are expected to maintain a professional, clean, and well-organized presence throughout the duration of the Vegas Tiny Home Tradeshow. The following guidelines are intended to ensure a safe, attractive, and welcoming environment for all attendees:

1. Conduct and Cleanliness: Exhibitors must operate in a respectful and orderly manner. Booth spaces must be kept clean and presentable at all times. Waste must be properly secured in plastic bags and disposed of in designated containers. Non-compliance may result in removal from the event without refund.

2. Weather Preparedness: Exhibitors are responsible for protecting their displays from sun, wind, and adverse weather conditions. Please note that outdoor weather can be unpredictable and sometimes severe.

3. Booth Boundaries: All activities, displays, signage, and literature distribution must remain within the designated booth space. No promotional materials may be placed in aisles, walkways, or common areas.

4. Clear Walkways: Sidewalks, booth perimeters, and aisles must remain clear and accessible at all times. No items may be stored or displayed outside of the assigned booth space.

5. Booth Appearance: Exhibitor staff must be neat, appropriately dressed, and attentive. Items not related to the booth’s display, such as cardboard boxes, storage bins, personal items, or unrelated décor, must be hidden from public view.

6. Noise and Odors: Exhibitors must maintain a clean, professional environment free from excessive noise, odors, or disruptive behavior.

7. Daily Clean-Up: Exhibitors are responsible for maintaining and cleaning their booth area at the end of each event day. Event staff will not clean inside individual booth spaces.

8. Organizer’s Discretion: The Organizer reserves the right to relocate, reassign, or remove any exhibit or display at its sole discretion if deemed necessary for operational, safety, or aesthetic reasons, or if the exhibit does not align with the overall objectives and standards of the Vegas Tiny Homes Trade Show.

12. DAMAGE TO VENUE

Exhibitors shall be liable for any damage to the venue, its fixtures, or property caused by their setup, teardown, staff, or operations during the event. The Organizer reserves the right to charge the Exhibitor for any costs associated with repair, cleaning, or restoration resulting from their participation.

13. INDEMNIFICATION

Exhibitor agrees to indemnify, defend, and hold harmless Organizer, its officers, employees, agents, and affiliates from any third-party claims, damages, or expenses (including reasonable legal fees) arising directly from Exhibitor’s negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the negligence or misconduct of the Organizer or its affiliates.

Likewise, the Organizer agrees to indemnify, defend, and hold harmless the Exhibitor and its representatives from any claims arising directly from the Organizer’s negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the Exhibitor.

14. COMPLIANCE WITH LAWS AND VENUE POLICIES

Exhibitors agree to comply with all applicable federal, state, and local laws, ordinances, regulations, and health and safety guidelines. Exhibitors shall also abide by all venue-specific policies and procedures, as well as any rules issued by the Organizer, including those communicated prior to or during the event.

15. APPLICABLE LAW

This Agreement shall be construed and interpreted in accordance with the laws of the State of Nevada, City of Las Vegas and County of Clark.

16. USE OF EXHIBITOR INTELLECTUAL PROPERTY

By participating in the event, Exhibitors grant the Organizer a non-exclusive, royalty-free license to use their business name, logo, brand images, and booth photos in connection with event marketing, promotional materials, social media, press releases, and future advertising.

17. PHOTOGRAPHY & MEDIA CONSENT

The Organizer reserves the right to photograph, videotape, or otherwise record the event, including exhibitor booths and interactions. By participating, Exhibitors consent to the use of their likeness, booth, and related materials for promotional, commercial, or archival purposes without compensation.

18. FORCE MAJEURE

Neither the Organizer nor the Exhibitor shall be liable for failure to perform any obligation under this Agreement if such failure is caused by events beyond their reasonable control, including but not limited to acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, labor strikes, governmental orders, pandemics, or other unforeseen circumstances that make performance impossible or impractical.

If the event is canceled or interrupted due to a Force Majeure event, the Organizer may terminate this Agreement without liability. In such cases, any fees paid by the Exhibitor for unused exhibit time may be refunded at the Organizer’s discretion, minus any non-recoverable expenses.

19. AMENDMENTS

Any amendments to this agreement must be in writing and signed by both parties. There will be no change, alteration, variation or deviation from the terms of this contract unless the same is made in writing and signed by all parties hereto. No verbal understanding or agreement, past, present or future that is not incorporated herein shall have any binding force or effect on this agreement.
